Introductions only — not a broker. PrivateTechShares never holds funds, gives investment advice, executes transfers or negotiates on anyone's behalf. Buyers and sellers handle ROFR, board consent, transfer and payment themselves. Access is for private investors only; nothing here is a public offering of securities.

This positioning is being confirmed in writing with a securities lawyer in our launch market before any fee is taken.

Good to know

Are you a broker or financial intermediary?
No. We run a matchmaking platform that introduces founders and private investors. We don't hold money, advise, execute trades or structure deals — the parties do all of that directly. The success fee is for the introduction.
What's visible before I sign anything?
Only Layer 1: sector, stage, country, deal type, ticket range and the share size on offer. The company name, cap table, financials and founder identity stay hidden until an investor signs the mutual NDA and the success-fee agreement.
Who pays the fee, and when?
By default the seller, at 3–5% of the deal value, payable only once the transfer actually closes. It's agreed up front in the success-fee agreement. No listing fees or subscriptions.
What about ROFR and board approval?
Those stay with you. Most shareholder agreements require the company to approve a transfer and give existing holders a right of first refusal. You clear those directly — we provide the introduction and the templates, not the execution.
Who can invest?
Private investors only — angels, operators, founders and family offices. Every investor accepts a risk disclaimer and self-certifies before accessing deal data. This is not a public offering.
What ticket sizes fit?
€10k to €500k, pre-seed through Series A, both secondary sales of existing shares and direct primary allocations. This is the small-ticket band that late-stage platforms don't serve.
